Terms of Service

1. Acceptance of Terms

By accessing or using the Konverze AI platform ("Service"), operated by Cloudbuzz Global Technologies (trading as Konverze AI) ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Konverze AI is a software-as-a-service (SaaS) platform that enables businesses to create, customize, train, and deploy AI-powered chatbots on their websites. The Service includes:

• Website crawling and content ingestion for chatbot training
• Document upload and custom knowledge base management
• Chatbot customization (appearance, personality, behavior)
• Embeddable chat widget generation and deployment
• Analytics and conversation monitoring (where available)
• API access (on applicable plans)

3. Account Registration & Eligibility

3.1 Eligibility

You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to create an account and use the Service. By registering, you represent that you meet this age requirement.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your API keys. You agree to immediately notify us of any unauthorized use of your account. We are not liable for losses arising from unauthorized account access where you have failed to safeguard your credentials.

3.3 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. We reserve the right to suspend or terminate accounts with inaccurate or fraudulent information.

4. User Obligations & Acceptable Use

4.1 Lawful Use

You agree to use the Service only for lawful purposes and in compliance with all applicable local, state, national, and international laws and regulations.

4.2 Prohibited Activities

You shall not use the Service to:

• Generate, distribute, or facilitate harmful, abusive, defamatory, obscene, or unlawful content
• Impersonate any person or entity, or misrepresent your affiliation
• Deploy chatbots that provide medical, legal, or financial advice without appropriate disclaimers and professional oversight
• Collect, store, or process personal data of end users in violation of applicable privacy laws (including GDPR, CCPA, and DPDPA)
• Engage in spamming, phishing, or social engineering through the chatbot
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Use automated means to scrape, crawl, or extract data from the Service itself (as opposed to your own website content for training)
• Use the Service to train chatbots on content you do not own or have rights to use
• Resell, sublicense, or redistribute the Service without written permission

4.3 Content Responsibility

You are solely responsible for all content that you upload, submit, or make available through the Service, including website URLs provided for training, uploaded documents, FAQ pairs, and custom instructions. You represent and warrant that you have all necessary rights, licenses, and permissions to use such content.

5. Intellectual Property

5.1 Our IP

The Service, including its software, design, logos, trademarks, and documentation, is the exclusive property of Konverze AI and is protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written consent.

5.2 Your Content

You retain ownership of all content you upload or submit to the Service ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, store, and display such content solely for the purpose of providing and improving the Service.

5.3 AI-Generated Responses

Chatbot responses generated by the Service using your training data are provided as-is. We do not claim ownership over AI-generated outputs but make no guarantees regarding their accuracy, completeness, or fitness for a particular purpose. You are responsible for reviewing and monitoring chatbot responses delivered to your end users.

6. Subscription Plans & Billing

6.1 Plans

The Service offers multiple subscription tiers (e.g., Free Starter, Pro, Business). Features, limits, and pricing are described on our Pricing page and may change with reasonable notice.

6.2 Billing

Paid subscriptions are billed in advance for the chosen billing cycle (monthly, quarterly, half-yearly, or yearly). All fees are non-refundable except as required by applicable law. For full details on how plan changes, upgrades, and downgrades work, see our Plan Change Policy.

6.3 Upgrades & Downgrades

Upgrades take effect immediately. Remaining conversations from the current billing cycle are carried forward into the new plan. No prorated refund is issued for unused days. Downgrades are queued to take effect at the end of the current billing cycle — the current plan remains fully active until then. No charge is taken at the time of a downgrade request. 6.4 Refunds

All payments are non-refundable, except as required by applicable law or in cases of verified billing error. We do not offer refunds or credits for unused portions of a billing cycle. If you believe a payment was made in error, contact us at [email protected] within 7 days and we will review your case. Nothing in this clause limits any statutory rights you may have under applicable consumer protection legislation.

6.5 Taxes

All prices are exclusive of applicable taxes (including GST, VAT, and sales tax). You are responsible for paying all taxes associated with your use of the Service, except for taxes on our income.

7. Data Processing & Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge and agree to our data practices as described therein.

7.1 End-User Data

When your chatbot interacts with your end users, certain data (such as conversation transcripts and metadata) may be collected and processed. You are the data controller for your end users' data and are responsible for complying with applicable data protection laws, including providing appropriate privacy notices and obtaining necessary consents.

7.2 Data Processing Agreement

For Business plan subscribers and where required by applicable law, we will enter into a Data Processing Agreement (DPA) governing our processing of personal data on your behalf. Contact us at [email protected] to request a DPA.

8. Service Availability & SLA

8.1 Uptime

We strive to maintain 99.9% uptime for the Service but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where practicable.

8.2 Modifications

We reserve the right to modify, update, or discontinue any feature of the Service at any time. Material changes that affect your use will be communicated at least 30 days in advance via email or in-app notification.

You agree to indemnify, defend, and hold harmless Konverze AI, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Content generated by chatbots you deploy using the Service
• Your end users' interactions with your chatbot

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that AI-generated chatbot responses will be accurate, complete, current, or error-free. You acknowledge that AI responses may contain inaccuracies and should not be relied upon as the sole source of truth for critical decisions.

12. Termination

12.1 By You

You may terminate your account at any time through the Settings page or by contacting support. Upon termination, your access to the Service will cease, and your data will be deleted within 30 days, subject to any legal retention requirements.

12.2 By Us

We may suspend or terminate your account immediately if you breach these Terms, engage in prohibited activities, or if required by law. For non-breach terminations, we will provide 30 days' notice.

12.3 Effect of Termination

Upon termination, your right to use the Service ceases. Sections 5 (Intellectual Property), 9 (Limitation of Liability), 10 (Indemnification), 11 (Disclaimer), and 13 (Governing Law) survive termination.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of India, including the Information Technology Act, 2000 and the IT (Amendment) Act, 2008 (which govern electronic contracts, digital records, and intermediary liability), without regard to conflict of laws provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

Before initiating any legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or prominent in-app notice at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you disagree with the changes, you must stop using the Service and terminate your account.

15. Miscellaneous

• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force.
• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Konverze AI regarding the Service.
• No Waiver: Our failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
• Force Majeure: We shall not be liable for any failure or delay resulting from circumstances beyond our reasonable control, including natural disasters, acts of government, internet disruptions, or third-party service failures.
